Terms of Service (ToS)
Preamble
These General Terms of Service (hereinafter 'ToS') are intended to define the rights and obligations of the publishing company of the docu-labs.com site and its professional clients in the context of providing legal and administrative information services.
The company QODERZ LTD is an English law company, registered with the Companies House in the United Kingdom and having its registered office at 7 Bell Yard, London, WC2A 2JR, United Kingdom, duly authorized to offer its services on French territory. Any use of the site implies unreserved acceptance of these ToS.

Access to Premium Service
The use of the Premium Service is conditional on creating a customer account and actually subscribing to a subscription.
To activate their account, the user must enter the following information from the subscription page:
Account validation is effective once payment related to the trial period is confirmed. The client is responsible for the accuracy of the data provided and undertakes to update it in case of change. Inaccurate or obsolete information may result in temporary or permanent suspension of access to services.
Each account gives rise to a unique trial period of two days, charged 1.49 € excluding tax. Unless you expressly cancel before the end of this period, the subscription is automatically renewed for periods of 30 days, at the monthly rate of 59 €.
Subscription payment is made only by bank card. A user can only activate one trial period, all multiple subscriptions being prohibited. Site access is open 24/7, except in cases of force majeure, technical failures, or maintenance operations. Docu-labs implements all reasonable means to ensure site and service availability, without obligation of result.

Duration, withdrawal and termination
The 'Premium Offer' subscription is taken out for a monthly duration, automatically renewable.
In accordance with article L221-3 of the Consumer Code, professional clients do not benefit from the right of withdrawal.
Termination can occur at any time by the client from their personal space or from the site's home page. It takes effect immediately. No refund will be made for a period already started.
Refund
The services offered by docu-labs.com being mostly accessible immediately after order validation (notably access to documents or digital information tools), no refund will be granted once the service has started or been performed, except in case of proven malfunction attributable to the Service Provider.
In case of technical anomaly or error during service execution, the Client can contact customer support at support@docu-labs.com within 7 days following the order, to formulate a reasoned complaint. Each request will be subject to individualized analysis.
The Service Provider reserves the right to refuse a refund if the service has been provided correctly, in accordance with the Client's order.
Responsibility
Docu-labs makes every effort to guarantee a reliable, secure service that conforms to its contractual description. However, the obligation on the Service Provider is an obligation of means, not of result. It cannot be held responsible for the consequences of inadequate use, misuse or erroneous interpretation of documents provided via the platform.
The Client remains solely responsible for the choices they make, the exploitation of accessible information and their relevance to their own needs. Access to services relies on computer infrastructures that may experience interruptions. No guarantee is provided regarding service continuity, availability or data completeness.
In case of force majeure or unforeseeable and irresistible external events (breakdown, attack, strike, outage, third-party failure, etc.), Docu-labs is released from all responsibility for the period concerned.
Any fault by the Client (input errors, failure to update, disclosure of credentials, automated or fraudulent use of the service) engages their exclusive responsibility. Docu-labs reserves the right to suspend access in case of observed breach of contractual conditions.
Site unavailability, even prolonged, cannot alone justify a right to compensation or refund.
Docu-labs' responsibility is strictly limited to direct, proven damages attributable to a contractual fault on its part. Under no circumstances can it cover commercial damage, data loss, reputation damage or revenue loss. Any compensation due by the Service Provider, all causes combined, cannot exceed the amount of the last monthly subscription paid by the Client.
Intellectual property
The docu-labs.com website and all of its content are protected by intellectual property provisions, in particular the French Intellectual Property Code and applicable British legislation. This content includes, but is not limited to:
These elements are the exclusive property of Docu-labs or its contractual partners and cannot be used without prior written authorization.
Any unauthorized reproduction, representation, distribution, extraction, exploitation or commercial use, by any means whatsoever, is strictly prohibited and constitutes an act of counterfeiting liable to civil and criminal sanctions.
The Client undertakes not to infringe, directly or indirectly, the intellectual property rights of the Service Provider. They are specifically prohibited from modifying, decompiling, disassembling or reproducing all or part of the site or its content without express authorization.
The fact that Docu-labs does not immediately initiate proceedings in case of counterfeiting cannot be interpreted as a waiver of its rights.
Pricing and payment terms
The prices in effect are those displayed on the docu-labs.com site at the time of subscription. They are expressed in euros, all taxes included (TTC), and apply only to the order date. Docu-labs reserves the right to modify them at any time for any future subscription or renewal, subject to prior notification of the Clients concerned.
Two formulas are offered:
A unique two-day trial period is accessible to all new Clients, for a payment of €1.49 TTC. Without termination before its end, the Premium subscription is automatically renewed for successive monthly periods.
Docu-labs reserves the possibility of granting, at its sole discretion, particular pricing conditions to certain clients (for example, discounts or special offers). These adjustments do not affect the general ToS applicable to all users.
Corresponding invoices are generated automatically and accessible in the client area. The Client expressly accepts that these documents be provided in dematerialized form.
Payments are due on the agreed date. No postponement is possible, even in case of dispute.
Personal data
In the context of its services, Docu-labs collects and processes personal data relating to its professional users. The data controller is the company that publishes the site, based in the United Kingdom. A Data Protection Officer (DPO) is appointed to ensure compliance with GDPR, UK GDPR and legal obligations regarding confidentiality.
The data concerned may include: name, first name, position, corporate name, company identifiers, professional email, telephone number, postal address, order and subscription histories. This information is processed on the basis of the contractual relationship linking Docu-labs to its Clients, and serves exclusively to ensure service execution, manage user accounts, ensure legal security and comply with legal obligations.
Data is kept as long as necessary for contract execution, then archived for a period in accordance with legal prescription deadlines. It is hosted on secure servers and is only accessible to authorized personnel or subcontractors contractually bound to confidentiality.
The Client has the following rights: access, rectification, erasure, portability, opposition, limitation and definition of post-mortem directives. Any request may be addressed to the following address: support@docu-labs.com.
Docu-labs undertakes to respond to any request within a maximum period of 30 days. In case of doubt about data processing, the Client may contact the competent supervisory authority.
Some technical service providers of Docu-labs may be located outside the European Union. In this case, transfers are governed by contractual clauses compliant with European standards. Finally, Docu-labs may be required to respond to any request made by a public authority under the conditions provided by law.
In case of business restructuring, merger, transfer or any other change of control, data may be transmitted to the new entity to ensure service continuity, while respecting the rights of the persons concerned.
Legal warranties
In accordance with the provisions of the French Civil Code and, where applicable, applicable British legislation, the Customer benefits from legal guarantees regarding the conformity of services and the absence of hidden defects.
Conformity warranty
Docu-labs undertakes to provide services that conform to the description made on its website and to the essential characteristics announced at the time of order. This warranty covers in particular:
In case of obvious non-conformity, the Client may require correction at no cost, within a reasonable time and without major inconvenience. If this correction is impossible or disproportionate, the Client may request a price reduction or contract resolution.
Hidden defects warranty
The Client may invoke the warranty against hidden defects within a reasonable time following discovery of the defect, in case of malfunction detected after service execution, seriously affecting its use or utility.
The warranty is excluded when the Client uses the services despite contrary recommendations, or in a manner not conforming to its professional purpose.
Exercise procedures
Any claim relating to warranties must be notified in writing to the following address: support@docu-labs.com, accompanied by any element justifying the alleged defect. The Service Provider will conduct an individualized analysis of the case and may request additional information. In case of claim acceptance, corrective measures (refund, service modification, price reduction, etc.) will be implemented within a reasonable time.
Applicable law and competent jurisdiction
These GTC are governed by English law. In the event of a dispute relating to the interpretation or performance of these terms and conditions, the parties undertake to seek an amicable solution as a matter of priority.
If this amicable attempt fails within 30 days, the dispute may be brought before the competent courts of England and Wales, subject to any mandatory provision to the contrary.

Final provisions
Any complaint or request for information must be addressed to support@docu-labs.com. In case of dispute, the parties undertake to seek an amicable solution before any judicial procedure.
